Kenya Pipeline Confirms IPO Unaffected by Legal Challenges

Kenya Pipeline Company (KPC) has stated that it does not believe pending litigation will impede its Sh106 billion initial public offering (IPO). The company asserts that it has resolved significant legal issues and that no court orders currently exist to halt or delay the transaction.

Concerns have been raised by some stakeholders regarding ongoing lawsuits related to KPC’s past operations, prompting caution from potential investors.

Legal Disputes and Remediation Efforts

KPC acknowledges past legal challenges, including those related to environmental remediation work initiated nearly a decade ago. The company reports receiving clearance from the National Environment Management Authority (NEMA) in 2021 regarding these efforts, which primarily address environmental contamination from oil spills, notably the 2015 incident in the Thange River Basin, Makueni County.

Another case involved Zakhem International Construction (Kenya) Ltd, which was engaged in the construction of Line 5 between 2014 and 2015. KPC states that this matter has been resolved.

Ongoing Litigation and KPC’s Response

KPC’s managing director, Joe Sang, indicated that a remaining concern involves the Thange River area in Makueni, where the company has obtained a stay. He maintains that this case does not restrict the capital-raising plans and has been disclosed to regulators and prospective investors.

A recent petition, filed on January 2, 2024, by Busia Senator Okiya Omtatah, Bernard Muchiri Muchere, and Naomi Nyakerario Misati, alleges that the proposed privatization process violates constitutional and statutory requirements for managing public assets.

KPC asserts that it has not been served with any order preventing it from proceeding with the IPO. According to KPC, “We do not have any orders that could stop us from proceeding. If there were any, we would have been served, and we would act appropriately, but at the moment we don’t have any, hence the reason why this transaction is proceeding.”
